These Terms and Conditions (“Terms”) govern your access to and use of the AgenticK12 website, software, tools, memberships, and related services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. What AgenticK12 Is
AgenticK12 is an AI-assisted educational support platform designed for homeschool families, microschools, private learning groups, tutors, parents, and similar educational users. The Services may include tutoring support, lesson planning assistance, quizzes, session summaries, printable materials, parent tools, and optional recordkeeping features.
AgenticK12 is a support tool. It is not a school, accredited academic institution, licensed childcare provider, or certified teacher. Unless expressly stated otherwise in writing, use of the Services does not create any student-teacher, school enrollment, counseling, medical, legal, fiduciary, or professional-services relationship.
2. Eligibility
You may use the Services only if you can form a binding agreement under applicable law.
If you are a parent, guardian, school administrator, microschool operator, tutor, or other adult acting on behalf of a child, you represent that you have authority to create accounts, provide information, and make decisions relating to that child’s use of the Services.
Children may use parts of the Services only under the supervision, direction, or authorization of a parent, legal guardian, school, or other authorized adult, as applicable.
3. Accounts and Access
You may be required to create an account, maintain a membership, or connect approved tools in order to access some features.
You agree to:
- provide accurate and current information,
- keep login credentials secure,
- restrict access to your account,
- notify us promptly of suspected unauthorized use, and
- take responsibility for activity occurring under your account.
We may suspend or terminate access if information is inaccurate, access is abused, or use violates these Terms.
4. Educational Use Only
The Services are intended to support learning, planning, tutoring, and educational organization. You remain solely responsible for:
- selecting curriculum,
- supervising students,
- reviewing generated content,
- verifying factual accuracy,
- deciding whether materials are age-appropriate, and
- ensuring any academic, reporting, or compliance use is suitable for your needs.
You should not rely on the Services as the sole basis for educational placement, grading, discipline, diagnosis, special education decisions, legal compliance, or safety-critical decisions.
5. AI Output Disclaimer
The Services may generate content using artificial intelligence, automation, templates, or user-provided inputs. AI-generated output may be incomplete, outdated, biased, incorrect, or unsuitable for a particular learner or setting.
You acknowledge and agree that:
- outputs are suggestions, not guarantees,
- you will review and approve materials before using them with a child,
- AgenticK12 does not guarantee academic results, mastery, admission outcomes, testing outcomes, or student performance, and
- you are responsible for how you use or share outputs.
6. Child Use, Parent/Guardian Responsibility, and Student Privacy
If the Services are used by or for children, the responsible adult or authorized institution is responsible for supervising use and determining what information may be entered into the platform.
You agree not to provide more child information than is reasonably necessary for the intended educational use. Where applicable, you are responsible for obtaining any required parental, guardian, school, district, or organizational permissions before using the Services with or for a child.
If you are a school, microschool, tutor, or other organization using the Services with student information, you are responsible for ensuring your use complies with your own legal and policy obligations, including student privacy, consent, notice, retention, and disclosure requirements.
7. Data, Local Use, and Optional Features
Certain features may be designed to run locally, offline, or on user-controlled devices. Other features may involve cloud services, integrations, uploads, generated records, exports, or optional publication or sharing functions.
Depending on the configuration you choose, the Services may process:
- account and membership information,
- educational prompts and responses,
- lesson files and uploaded materials,
- student progress information,
- parent or teacher notes,
- quiz/test data,
- optional authentication information, and
- optional proof or record metadata.
You understand that available features and data flows may vary by configuration, plan, integration, and deployment model.
8. Optional Records, Verification, and Blockchain or External Registry Features
Some features may allow optional creation of verification records, badges, hashes, attestations, or other metadata tied to learning events, content, or outcomes. If such features are offered, you remain solely responsible for deciding whether to use them.
You understand that:
- optional records may be persistent,
- external registries or blockchains may be difficult or impossible to modify or delete once written,
- pseudonymous or hashed records may still carry privacy or compliance implications depending on how you use them, and
- AgenticK12 does not guarantee that any badge, record, hash, or attestation will be accepted by any school, program, employer, scholarship provider, or third party.
Do not use optional verification or publication features for any child or student unless you are comfortable with the privacy, legal, and practical consequences.
9. Payments, Memberships, and Renewals
Some parts of the Services may require payment, subscription, or membership enrollment.
By purchasing a paid plan, you agree:
- to pay all stated fees, taxes, and charges,
- that recurring plans may renew until canceled,
- that access may change if payment fails, and
- that fees are generally non-refundable except where required by law or expressly stated otherwise.
We may change pricing, plan features, or billing terms prospectively. Any change will not retroactively alter charges already incurred.
10. Acceptable Use
You agree not to:
- use the Services for unlawful, harmful, fraudulent, or deceptive purposes,
- upload or generate content that infringes intellectual property or privacy rights,
- use the Services to exploit, profile, harass, or harm children,
- submit viruses, malware, or malicious code,
- interfere with platform security, availability, or functionality,
- reverse engineer or scrape the Services except as allowed by law,
- use the Services to impersonate others or falsify educational records,
- attempt to bypass memberships, access controls, or usage limits, or
- use the Services to create or distribute abusive, hateful, sexually explicit, or otherwise inappropriate materials for minors.
We may investigate and take action against prohibited use, including suspension, deletion, or legal reporting where appropriate.
11. User Content and Inputs
You retain ownership of content you submit, upload, or provide to the Services (“User Content”), subject to the rights you grant below.
You grant AgenticK12 a limited, non-exclusive, worldwide license to host, process, reproduce, adapt, and use User Content only as reasonably necessary to operate, secure, maintain, improve, and provide the Services, and to comply with law.
You represent that you have all rights and permissions needed to submit User Content and that doing so does not violate any law or third-party right.
12. Intellectual Property
The Services, including software, branding, design, text, graphics, prompts, workflows, and site content, are owned by AgenticK12 or its licensors and are protected by applicable intellectual property laws.
Subject to these Terms, we grant you a limited, revocable, non-transferable, non-exclusive right to access and use the Services for your internal personal, family, educational, or organizational purposes.
You may not copy, sell, sublicense, redistribute, or commercially exploit the Services except as expressly permitted in writing.
13. Third-Party Services and Links
The Services may include or rely on third-party tools, payment processors, wallet tools, hosting providers, authentication providers, plugins, open-source components, model providers, integrations, or external websites.
We do not control and are not responsible for third-party services, content, terms, policies, uptime, security, pricing, or practices. Your use of third-party services is governed by their own terms and policies.
14. Availability and Changes
We may add, remove, modify, suspend, or discontinue any feature, content, plan, or part of the Services at any time, with or without notice.
We do not guarantee uninterrupted availability, compatibility with all devices, or error-free operation. Maintenance, updates, outages, integrations, and third-party failures may affect performance.
15. Disclaimer of Warranties
To the fullest extent permitted by law, the Services are provided “as is” and “as available.”
AgenticK12 disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, quiet enjoyment, or results.
We do not warrant that:
- the Services will meet every need,
- outputs will be accurate or error-free,
- the Services will always be secure or uninterrupted, or
- use of the Services will produce any specific educational, financial, organizational, or legal outcome.
16. Limitation of Liability
To the fullest extent permitted by law, AgenticK12 and its owners, affiliates, licensors, service providers, and personnel will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of data, loss of profits, loss of goodwill, business interruption, educational disruption, or child/student outcome claims arising from or related to the Services.
Our total liability for any claim relating to the Services will not exceed the greater of:
- the amount you paid to AgenticK12 for the Services in the 12 months before the event giving rise to the claim, or
- USD $100.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
17. Indemnification
You agree to defend, indemnify, and hold harmless AgenticK12 and its affiliates, officers, owners, contractors, licensors, and service providers from and against claims, liabilities, losses, damages, judgments, and expenses arising out of or related to:
- your use of the Services,
- your User Content,
- your violation of these Terms,
- your misuse of child or student information,
- your infringement of another party’s rights, or
- your educational, academic, organizational, or compliance decisions made using the Services.
18. Termination
You may stop using the Services at any time.
We may suspend, restrict, or terminate your access at any time if we believe you violated these Terms, created risk or liability, failed to pay required fees, or used the Services in a harmful or unlawful way.
Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, indemnification, payment obligations, and dispute provisions.
19. Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles, unless another governing law is required by applicable consumer protection law.
20. Disputes
Any dispute arising out of or relating to these Terms or the Services will first be addressed through good-faith informal efforts.
If a dispute cannot be resolved informally, it shall be brought exclusively in the state or federal courts located in Wyoming, and you consent to that venue and jurisdiction, except where applicable law requires otherwise.
21. Changes to These Terms
We may update these Terms from time to time. The updated version becomes effective when posted, unless otherwise stated. Your continued use of the Services after updated Terms are posted constitutes acceptance of the revised Terms.
